Terms of Use

 

Effective October 1, 2026

 

1. Agreement

 

These Terms of Use are an agreement between you and CoDentist Inc (“CoDentist”, “we”, “us”). They govern your use of the CoDentist websites and the CoDentist dental practice management service (the “Service”). By using the Service you agree to these terms. If you use it for a dental practice or other organization (the “Customer”), you confirm that you have authority to bind it.

 

If the Customer has signed a separate agreement with CoDentist, such as an order form, subscription agreement or Business Associate Agreement, that agreement controls where it conflicts with these terms.

 

2. Accounts

 

  • Only people the Customer authorizes may use its account. Each person must use their own sign-in; do not share accounts.

  • Keep your password and multi-factor authentication device secure. You are responsible for activity under your account.

  • Tell us at once at security@codentist.ai if you think someone has used your account without permission.

 

3. Customer data and HIPAA

 

The Customer owns the data it puts into the Service, including patient information (“Customer Data”). The Customer gives CoDentist the rights we need to host, process and display Customer Data to provide and support the Service. Where Customer Data includes protected health information, we handle it as the Customer’s business associate under our Business Associate Agreement and HIPAA. Our Privacy Policy explains how we handle information.

 

The Customer is responsible for having the right to provide Customer Data, for the accuracy of what it enters, and for getting any consent its patients must give, including consent to receive text messages and to have calls recorded.

 

4. Clinical judgment and AI features

 

CoDentist is a software tool. It does not practice dentistry or give medical advice. AI features, such as note drafting, transcription, voice scheduling and image analysis, produce suggestions that can be wrong or incomplete. That output is a draft. A licensed provider must review it and accept it before it becomes part of a patient’s record, and the Customer and its providers remain responsible for every clinical decision.

 

5. Acceptable use

 

You must not:

 

  • use the Service for anything unlawful, or in breach of patient privacy law;

  • send spam or messages to people who have not agreed to receive them, or keep messaging someone who has opted out;

  • upload malware or anything that harms the Service or other users;

  • probe, scan or test the security of the Service without our written permission (please report vulnerabilities to security@codentist.ai instead);

  • copy, reverse engineer or resell the Service, or use it to build a competing product;

  • get around usage limits, access controls or other safeguards.

 

6. Text messaging

 

Customers use the Service to send their own patients text messages about their care, such as appointment confirmations, reminders and replies. If you receive these messages:

 

  • Message frequency varies with your appointments and conversations.

  • Message and data rates may apply.

  • Reply STOP at any time to stop receiving texts. Reply HELP for help, or contact your dental practice.

  • Carriers are not liable for delayed or undelivered messages.

 

We do not share mobile numbers or text-messaging consent with third parties for their marketing. See our Privacy Policy.

 

7. Fees and payments

 

The Customer pays the fees in its order form or subscription. Card and bank payments made through the Service are processed by our third-party payment processor and are also subject to its terms.

 

8. Third-party services

 

The Service connects to third-party services, such as telephone carriers, payment processors, insurance clearinghouses and imaging devices. We are not responsible for those services, and their own terms apply to them.

 

9. Our intellectual property

 

CoDentist owns the Service, its software and its content, other than Customer Data. These terms give you a limited, non-exclusive, non-transferable right to use the Service for the Customer’s internal business during its subscription. If you send us feedback, we may use it without any obligation to you.

 

10. Changes and availability

 

We improve the Service often and may change or remove features. We work to keep the Service available, but it may be interrupted for maintenance or for reasons outside our control.

 

11. Disclaimers

 

Except as a signed agreement says otherwise, the Service is provided “as is” and “as available”. To the extent the law allows, CoDentist disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement.

 

12. Limitation of liability

 

To the extent the law allows, CoDentist is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim about the Service is limited to the fees the Customer paid us for the Service in the 12 months before the claim arose.

 

13. Indemnity

 

The Customer will defend and indemnify CoDentist against third-party claims that arise from its Customer Data, its clinical decisions, or its breach of these terms.

 

14. Suspension and termination

 

We may suspend access that threatens the security of the Service or breaks these terms. Either party may end the Customer’s subscription as its agreement allows. When it ends, we return or delete Customer Data as that agreement and our Business Associate Agreement require.

 

15. Governing law

 

The laws of the State of California govern these terms, without regard to its conflict-of-laws rules. Any dispute will be heard in the state or federal courts located in California, and both parties consent to their jurisdiction.

 

16. Changes to these terms

 

We may update these terms. We will post the new version here and change the effective date. If a change is material, we will tell customers before it takes effect. If you keep using the Service after that, you accept the new terms.
